Job Description

Dakota Gold is a responsible gold exploration and development company with a specific focus on revitalizing the Homestake District in Lead, South Dakota. Dakota Gold has high-caliber gold mineral properties covering over 48 thousand acres surrounding the historic Homestake Mine. Reporting to the President and CEO, and regular interactions with the entire senior management team and the Board of Directors. The position will be based in the Company’s Vancouver office at 1588-609 Granville Street, Vancouver, British Columbia, Canada. The position is hybrid and will require attendance at the Vancouver office at least 3 days a week. The Company is incorporated in Delaware and has two offices, with its head office in Lead, South Dakota, USA and a small office in British Columbia, Canada where the President and CEO, Director of Legal, CFO, VP of IR and others are located. Primary responsibility for preparation and review of continuous disclosure documents and securities filings, including S-K 1300 technical report summaries, proxy statements, 8-Ks and Section 16 filings. Primary responsibility for execution of legal aspects of corporate finance and M&A activities. Act as Corporate Secretary for Board and Committee meetings and work with relevant members of the senior management team to prepare for all Board and Committee meetings. Provide advice, make recommendations, and develop policies and procedures in relation to corporate governance matters, disclosure obligations and general regulatory compliance. Assist with the negotiation and review of key commercial contracts. Coordinate and manage external counsel. Degree in law and a minimum 8 years of related work experience at a top law firm or public company. Member in good standing of the Law Society of British Columbia, New York, California or another State. Expertise in securities and capital markets, in particular, experience with the rules and regulations of the United States Securities and Exchange Commission is an asset. Expertise in board and corporate governance matters. Knowledge of Canadian and American public company regulatory framework.
