A company dedicated to driving the clean energy revolution, empowering communities to harness renewable sources for their power needs. As a privately held entity, they are nimble and responsive, adept at navigating the fast-paced changes in regulatory and technological landscapes. They are a young, financially robust, and profitable organization, having successfully developed over 8GW of solar and energy storage projects at both the community and utility-scale.
Role Overview
They seek a dedicated and skilled Senior/Legal Counsel to join their team, reporting directly to the CEO. This pivotal role will provide comprehensive legal support for our North American solar and energy storage projects. The ideal candidate will have a deep understanding of real estate, M&A, regulatory compliance, experience managing dispute resolution, and the ability to work closely with external counsel and our Corporate Secretarial team.
Key Responsibilities
Legal Advisory and Support

  • Strategic Legal Guidance: Offer expert legal advice on all aspects of our renewable energy business, including acquisitions, joint ventures, financing, leases, options, bids, permitting, corporate matters, insurance, and tax issues.
  • Risk Management: Identify and mitigate regulatory, compliance, and risk issues, ensuring adherence to renewable energy regulations, environmental standards, anti-trust laws, sanctions, and anti-bribery regulations.

  • Documentation and Agreements
  • Drafting and Negotiation: Review, draft, and negotiate a broad range of legal documents and agreements related to renewable energy transactions. This includes property tax agreements, interconnection agreements, offtake agreements, LOIs, MOUs, acquisition and divestment agreements, and partnership agreements.
  • Transaction Management: Oversee legal due diligence, negotiate transaction documents, and coordinate closings to ensure smooth and legally compliant transactions.

  • External Counsel Coordination
  • Collaboration with Local Counsel: Identify, select, and manage relationships with local external counsel. Oversee legal budgets and ensure cost-effective legal solutions.
  • Dispute Resolution: Manage and direct dispute resolution processes, including litigation, arbitration, and mediation as necessary.

  • Corporate Secretarial Support
  • Corporate Governance: Work closely with the Corporate Secretarial team on matters related to corporate governance, the formation of legal entities, and the preparation of corporate materials.
  • Corporate Secretarial Role: Perform corporate secretarial duties for companies within the group, ensuring compliance with legal and regulatory requirements.

  • Policy and Procedure Development
  • Policy Oversight: Assist in developing and overseeing company policies and procedures, actively participating in continuous improvement initiatives.
  • Contract Management: Lead the development and enhancement of our contract management workstream, ensuring efficient and effective contract administration.

  • Ad Hoc Projects
  • Project Participation: Engage in various special projects as required, contributing legal expertise and strategic insights.

  • Qualifications
  • Legal Credentials: Legally qualified as an attorney in the US or Canada, with 5 to 10 years of relevant legal experience.
  • Industry Experience: Proven experience in the renewable energy or power generation industry, with a strong understanding of M&A for energy projects and real estate agreements.
  • Skills and Abilities: Excellent negotiation and drafting skills, sound business acumen, and a passion for the renewable energy sector. Ability to deliver high-quality work under tight deadlines.
