Job Description:

Department Overview

The Legal Counsel team is dedicated to providing legal advice and counsel to areas including corporate development, corporate lawyers, external counsel, intellectual property and litigation. Our dynamic professionals ensure compliance with the legal requirements for the Bank as a cross-border public company while providing legal advice to the business activities of TD Bank Group. KEY ACCOUNTABILITIES

CUSTOMER

  • Simplifies complex legal problems into concepts that business partners and contract managers can understand.

  • Identifies issues and provides practical insight into risks to assist business partners in making decisions.

  • Builds an understanding of business partners' roles and recognizes opportunities to use legal expertise to contribute to business solutions and enable business strategy.

  • Pro-actively balances risk-taking with sound legal advice on complex situations.

  • Anticipates the information needs of business partners and contract managers.

  • Establishes systematic approaches to business partner/contract manager communications and challenges.

  • Delivers difficult messages without jeopardizing relationships.

  • Balances the role of enabling the business and ensuring alignment to TD's risk appetite.

  • Escalates issues as appropriate.

  • Open to innovations and working/managing through change.

  • Workload management and execute with speed and integrity.

SHAREHOLDER

  • Manages highly complex, sensitive or strategic negotiations and/or adversarial matters.

  • Takes a lead role with internal business partners to obtain the best outcome consistent with TD's risk appetite.

  • Identifies future problems and acts to prevent them; identifies future opportunities and acts to capitalize on them; influences events to avoid or minimize impact of future legal problems.

  • Assesses risk in ambiguous situations, develops solutions to legal issues with no established precedent and provides sound advice to business partners/contract managers.

  • Manages budgets, billings and forecasts (as may be required)

  • Protects the interests of the organization – identifies and manages risks, and ensures prompt and thorough resolution of escalated non-standard, high-risk issues.

  • Applies subject matter expertise and provides guidance, assistance and direction as needed.

  • Keeps abreast of emerging issues, trends, and evolving regulatory requirements and assesses potential impacts.

EMPLOYEE / TEAM

  • Provides practical support, coaching, training and assistance to contract managers; provides expert advice; ensures that information/advice is understood.

  • Supports an environment where contract managers and business partners freely escalate challenges; facilitates change through positive reinforcement of milestones and successes.

  • Prevents and/or resolves conflicts within the team; encourages and empowers others.

  • Ensures timely communication of issues/points of interest.

  • Provides thought leadership and/ or industry knowledge for own area of expertise and participates in knowledge transfer within the team and business unit.

  • Contributes to team development of skills and capabilities through mentorship of others, by sharing feedback, knowledge and experiences and leveraging best practices.

  • Contributes to a fair, positive and equitable environment that supports a diverse workforce.

  • Acts as a brand ambassador for own business area/function and the bank, both internally and/or externally

  • Senior role with principal accountability in the areas of strategic and tactical advice, counsel, influence, relationships and oversight, training and development of others, and special projects

  • Key relationships are business partners, contract managers, management, senior management.

  • Leads in complex, sensitive, and ambiguous situations.

  • Gives advice and support in relation to contract issues and interpretations.

  • Integrates legal and business needs to identify the need for appropriate policies and procedures within own area.

  • Recognized as a subject matter expert with significant in-depth and/or breadth of expertise in a complex field and knowledge of broader related areas.

  • Role requires substantial relationship management breadth and influence in leading initiatives, planning and/or integrating executional activities with excellent communication skills.

  • Anticipates emerging business trends and regulatory/risk issues as a basis for recommending large-scale product, technical, functional or operations improvements.

  • Serves as a source of expert advice to senior management in field of specialty; may lead team(s) of related specialists/experts.

  • Engages stakeholders to take action; serves as a source of expert advice, influences change; frames information in a broader organizational context.

  • Provides leadership guidance, makes recommendations and collaborates with business partners to ensure solutions meets the business needs on a complex project or program.

EXPERIENCE & EDUCATION

  • Undergraduate degree or relevant professional certifications, designations, or equivalent required (JD/LLB)

  • Admission to the Bar in good standing and licensed to practice law in the province.

  • 7+ years relevant experience (financial industry/complex organization)
