About the Role:
The Legal Counsel will be primarily responsible for negotiating and drafting cybersecurity agreements and other business contracts. Resolving matters quickly in a fast-paced environment is critical to this role. Additional duties include, but are not limited to, advising management on contractual terms and conditions, reviewing, and responding to, RFPs and other solicitation documents, maintaining corporate records and guiding colleagues and management through the various stages of the contract process. In addition to contracts, commensurate with experience, the Legal Counsel role will assist on a variety of other legal matters as they arise.

Responsibilities:
• Draft, redline, and negotiate commercial agreements, including Master Services, Consulting, Professional Services, Procurement, Partnerships, Reseller, Licensing Agreements and Amendments.
• Work as part of a cross-functional team with Sales Operations, Privacy, and GRC to achieve company objectives.
• Conduct commercial due diligence on M&A transactions.
• Assist as needed on regulatory and litigation matters.
• Provide legal guidance to various departments domestically and internationally including Sales, Engineering, Marketing, HR, and Operations.
• Draft policies relating to corporate standards and department processes.

Requirements:
• Minimum Qualification: LLB/JD or equivalent qualifications.
• 2-5 years’ experience drafting and negotiating IT contracts, including Master Service Agreements, Product and Software Licensing Agreements, Non-disclosure Agreements and Marketing Agreements.
• Demonstrated experience working directly with Sales, Finance and HR departments would be considered an asset.
• Flexible and adaptable to change with ability to deliver positive results under varying circumstances.
• Self-motivated and proactive in problem-solving and process improvement.
• Excellent written and verbal communication skills.
• Detail-oriented and able to efficiently manage numerous projects simultaneously under deadline pressure.
