Reporting to the General Counsel, the Legal Counsel will serve as a key strategic partner to our business team members, providing practical legal advice with a strong focus on supporting business objectives. The Legal Counsel will be responsible for managing a diverse portfolio of legal matters critical to Arctic Co-op’s and the Co-operative System’s operations, including commercial contracts, real estate, corporate governance, intercompany legal affairs, and contract management while supporting litigation and labour and employment matters. This role will be pivotal in ensuring successful business outcomes, risk mitigation and legal compliance in these areas while also supporting Arctic Co-op’s through other transactional matters. Experience on a broad range of legal and business issues involving multiple jurisdictions, with a particular focus on corporate/commercial, real estate, corporate governance, employment, and financing matters will be essential for this position. Duties and Responsibilities: The general duties and responsibilities of Legal Counsel will include: · Providing legal and business advice and opinions to Arctic Co-ops’ business units on a variety of matters, including, but not limited to, the preparation, review and interpretation of legal documents, agreements and contracts; commercial transactions, including financing; real property transactions; procurement; employment; privacy; and, general regulatory compliance; · Undertaking research, interpreting and analyzing information, and presenting options, opinions and implications to General Counsel and internal stakeholders; · Monitoring and advising on changes to legislation having an impact on Arctic Co-ops and/or its retail members, and in particular, co-operative legislation, privacy, supply chain, etc.; · Manage the contract lifecycle, including renewal and termination processes; Qualifications: The successful candidate will have a Juris Doctor (JD) or Bachelor of Laws (LLB) degree, and will be a practicing member in good standing with the Law Society of Manitoba (or with the Law Society of another Canadian jurisdiction and have the ability to be admitted to the Law Society of Manitoba) with two to five years of practice experience. Knowledge, skills and abilities include a drive to learn, understand and proactively contribute to business objectives, excellent legal and analytical skills, ability to meet deadlines and accommodate competing demands, exceptional interpersonal, oral and written communication skills, and demonstrated ability to partner with individuals at all levels of an organization.
