Job Description

Our well established client is seeking a dedicated and dynamic Junior Legal Counsel to join their team. This role is pivotal in supporting their project development initiatives, ensuring legal compliance, and managing risks associated with renewable energy projects in Canada.

Key Responsibilities:

  • Contract Management: Draft, review, and approve contracts, MOUs, and other transaction documents related to project development, project financing, joint ventures, and the construction (EPC) and operation of renewable energy projects.
  • Legal Matters Management: Oversee daily legal matters including the review of service contracts related to wind power generation projects in Ontario, and preparation/review of official letters and corporate resolutions.
  • Business Support: Collaborate with the business development team to identify and control legal risks, working closely with internal legal counsel and business units to mitigate business risks across various models.
  • External Relations: Communicate and negotiate with external parties, including regulators, external counsel, and public authorities, to establish and maintain relationships of trust.
  • Legal Research and Advice: Conduct research on laws, regulations, and policies related to renewable energy, providing informed legal advice in consultation with external law firms on a case-by-case basis.

Qualifications:

  • Experience: 0-5 years' experience in-house or in a law firm, handling legal and risk management work.
  • Skills: Excellent interpersonal and collaborative skills with a strong ability to work within a team.
  • Expertise: Experience in commercial matters such as service agreements, EPC contracts, supply contracts, project finance documents, and an understanding of real estate law and practices is preferred.
  • Industry Knowledge: Experience in wind/solar generation facilities, environmental regulations, and related legal regimes is preferred. Candidates without specific renewable energy experience but with a strong desire to learn will also be highly regarded.
  • Professionalism: Highly committed, accountable, and passionate about wide-ranging legal work, maintaining a high degree of professional ethics and integrity.
