Job Description

As a Director Chief Legal Advisor in the Legal Affairs - Governance (Corporate Secretary’s Office) team at National Bank, you’ll act as asubsidiary governance specialist. With yourcorporate governance and subsidiary governance expertise, your good knowledge of corporate law and ESG and your diligence and yourstrong interpersonal skills, you’ll have a positive impact on the Bank and its subsidiaries.

Your role:

  • Act as a recognized expert in subsidiary governance.
  • Legally manage the Bank's subsidiary organizational chart.
  • Support subsidiary boards of directors by being responsible for, including:
  • Advise directors on various issues and make recommendations;
  • To preserve the legal existence of subsidiaries;
  • To keep their minute books;
  • Organize board and committee meetings and act as corporate secretary;
  • Coordinate the filing of the required corporate and regulatory reports.
  • Participate in certain projects such as corporate reorganizations, the organization of the Bank's annual shareholders' meeting and the drafting of related documents, the implementation of new guidelines, standards or regulations and the deployment of new tools or processes.
  • Ensure the advancement and integration of best practices in governance within the subsidiaries.
  • Provide legal advice and intervene in strategic matters impacting the activities and operations of the Bank and its subsidiaries.
  • Be proactive in your work environment, with a focus on improving the quality of the Governance team's services, systems and processes.

Your team:

This position reports to the Senior Manager, Governance within Legal Affairs (Corporate Secretary’s Office) of the Bank.We are looking for a legal advisor who loves a challenge, who aspires to innovate and who wishes to experience personal growth in a dynamic and multidisciplinary team.

Prerequisites:

  • Level of academic experience required (e.g.: college diploma, bachelor’s degree, master’s degree in…)
  • Bachelor's degree in law and a minimum of 10-15 years of experience
  • Good knowledge of corporate law and governance
  • Team spirit and interpersonal skills
  • Diligence and attention to detail. Practical and pragmatic
  • Ability to multitask
Languages:
  • French
Reason to require this language: you will need to work closely with our colleagues outside Quebec.
