We pride ourselves on our diverse and inclusive workplace; we are a unique workplace with unique people.Reporting to the Associate General Counsel, Corporate and Securities, the Corporate Legal Counsel will have the opportunity to work with a team of legal professionals in a fast-paced environment on a broad range of matters.WHAT WILL YOU DO?Provide legal support for regular capital raising and borrowing activities, ensuring compliance with applicable securities laws and regulatory requirements.Support the real estate legal team with financing and refinancing activities.Advise and identify legal issues related to credit and other financing related agreements.Draft, review, and negotiate sophisticated contracts and commercial arrangements.Structure various legal entities, including corporations, trusts, limited partnerships, and joint ventures.Prepare and review governance and disclosure documents such as resolutions, policies, and governing documents.Handle corporate and intercorporate arrangements, including asset acquisitions and divestitures.Perform other corporate and securities-related tasks as assigned.WHAT WILL YOU NEED?Active status with the Law Society of Alberta; qualification in one or more U.S. jurisdictions is considered an asset.Three to six years of corporate and/or securities law experience, gained at a top-tier firm or in-house legal group.Excellent skills in contract drafting, reviewing and negotiating.Familiarity with the formation and maintenance requirements for various legal structures, including corporations, trusts, limited partnerships, LLCs and joint ventures.Experience with banking and credit arrangements is an asset.Excellent communication and drafting skills.Demonstrated business acumen with a practical application of law to advise on risk within the context of broader business goals.Effective at planning, organizing, and prioritizing to maintain multiple tasks.WHATDOWE OFFER?We live and breathe our core values.
