About The Role We are seeking an experienced Associate Legal Counsel to join our team in Toronto and provide legal guidance and support on a variety of legal matters related to our business. The Associate will report directly to the CEO and will work closely with other departments within the company. What Youll Be Doing: Provide legal advice and guidance on a broad range of legal matters, including corporate, governance, compliance, employment, workplace, commercial and intellectual property issues and topics Draft and review legal materials; including SaaS agreements, NDAs, master service agreements (MSA), commercial agreements, memorandums and policies Assist with regulatory compliance and risk management activities, including managing regulatory filings Monitor changes in law and regulations that may impact the business and provide guidance on compliance with these changes Provide legal support for corporate transactions, including financing transactions, and other strategic initiatives Ensure OneVest’s corporate structure aligns with its platform offerings to ensure scale and efficient growth Collaborate with cross-functional teams to mitigate legal and enterprise risks Manage outside counsel and other legal services providers as necessary Qualifications: A law degree from a Canadian law school and member in good standing with the Law Society of Ontario. Licensed to practice law in Ontario is required Minimum 5 years of relevant legal experience at a law firm or in-house legal department at a Canadian SaaS company, with a focus on corporate law Experience/understanding Consumer Protection, Privacy, Intellectual Property Law Ability to review, negotiate and draft a wide variety of commercial contracts, including but not limited to, SaaS agreements, master service agreements, software licences, purchase agreements, professional services agreements, and term sheets Excellent communication, analytical, and problem solving skills Flexibility: A flexible & hybrid working environment Health & Wellness:Comprehensive Group Health, Dental and Vision Benefit Plan right from the startEquity:Employee Stock Option Purchase PlanOpportunity:An environment where you are recognized and growth opportunities are availableSound like a good fit?
